Agreement
This agreement is the treaty of cooperation between a company or a physical person represented by you, whose information you have entered in the registration form (hereinafter referred to as the “Partner”) and the company “Adnet Media”, company code 40103446648, address A.Čaka 83/85-B30 (hereinafter referred to as the “Operator”).
Terms
Agreement – this document provides the guidelines and information provided in the Partner’s FAQ (Frequently Asked Questions) https://www.textads.lv/lv/site_administrator/faq/
Partner – the website owner, an official having the right to carry out financial operations with other legal persons in accordance with the valid laws of the Republic of Latvia and assuming responsibility for these actions.
Partner’s Website – the set of websites belonging to or represented by you, which have a common Internet address and into which textual ads of the Textads.lv network are placed.
Textual ad – Advertiser’s advertisement text with the interactive link used in the Textads.lv system and meeting its requirements.
Section – the set of partner websites meeting the independent requirements of the Operator.
Customer – the third party, the advertiser.
Placing Ads
When signing up, the Partner can select the category to which their website belongs. The final decision about the website joining the Textads.lv system and its attachment to a certain section is reached by the Operator. The Partner has the right to customise the placement and appearance of the ads. The Partner may have an unlimited number of web pages.
Cost
The Operator sets the minimum costs per click in each section. The real cost is determined in the virtual auction, whose results aren’t directly influenced by the Operator. The Operator guarantees that the Partner gets no less than 50% of the amount paid by the Customer.
Payments
The Partner has the right to require the Operator to pay the money accumulated since the last payment.
The payment is carried out only after accumulating an amount larger than the minimum amount set for the Operator (See FAQ).
If the Partner wishes to obtain the accumulated amount, they write out the invoice of the valid form and send it to the Operator by registered letter. Only invoices which are received during the current month, or no later than the fifth day of the following month, are accepted. Payments are carried out monthly according to invoices received during the previous month and no later than the tenth day of the month. The paid amount is charged to the Partner’s account in the Textads.lv system. At the moment of payment, the Partner’s account in the Textads.lv system must contain the required amount; otherwise the payment is carried over.
The Partner has the right at any time to remit any amount of money to the chosen Customer registered in the Textads.lv system. This remittance cannot be refunded, and the Operator takes no responsibility for the Partner’s actions connected with it.
The Operator doesn’t have to carry out a payment for the Partner if he or she withdraws from the activity before accumulating the minimum amount necessary to carry out a payment.
Accounts
The Operator must ensure a 24 hour login to the Partner’s account in the Textads.lv system, where a complete report of ad display and payments is provided.
Ad Content
The Customer is fully responsible for the content of textual ads and the advertised website. The Operator controls the textual ad content and has the right to correct grammatical mistakes and perform minor text corrections, if it doesn’t change the content of the text. The Partner has the right to block any Customer’s ads on their website.
Confidentiality and Privacy Policy
The Operator is obligated not to disclose any information about the Partner’s information, payments or any other information revealed during the course of interaction with third parties, except in cases provided for by law. All provided information can be used only when acting within the limits of the Textads.lv system.
Duration
Textads.lv system operation is unlimited. The Operator has the right to stop the system operation, informing the Partner about it by e-mail no later than within 10 working days. After stopping the system operation, within two months from receipt of the message the Partner has the right to demand payment of any amount accumulated on his or her account. The Operator must refund this amount by remitting it to the Partner’s account no later than within 20 working days from receipt of the invoice. The Partner can withdraw from the activity any time by removing the textual ads from his or her websites.
Force majeure
None of the parties are responsible for default if it occurs due to floods, fires, earthquakes, other natural disasters, epidemics, acts of war, or acts of state government or authorities.
Any party unable to apply the undertakings due to the above-mentioned factors should inform the other party of this by e-mail within five working days.
Further Guidelines
The Partner guarantees that this registration form contains the correct data about themselves and/or the represented person.
The Partner confirms that he or she is authorised and has the right to represent the Internet website where the ads of the Textads.lv system will be placed.
The Operator reserves the right to change and enlarge this agreement at any time.
The Textads.lv system operates according to the laws of the Republic of Latvia. All disputes concerning Textads.lv operation are settled by negotiation, and if no positive result is achieved – by the laws of the Republic of Latvia.
